The 2023 Newmarket Baseball Annual General Meeting will be held on January 18th at the Newmarket Community Centre at 7pm.

AMENDMENTS TO THE CONSTITUTION/BY-LAWS
The Ontario Not-for-Profit Corporations Act (ONCA) provides Ontario not-for-profit corporations, including Newmarket Baseball Association, with a modern legal framework on how not-for-profit corporations are created, governed and dissolved. Since Newmarket Baseball must now comply with ONCA there was a need to update the Constitution and By-Lawls for the 2024 season.
Newmarket Baseball has been working with a Steve Indig who specializes in sports law to ensure we are in compliance with the new regulations. The previous Constitutuion and By-Laws have been merged into the new 2024 Newmarket Baseball Association By-Laws. This new document will be reviewed and voted on by the members at the AGM.
Any motion to make any changes to the By-Laws must be submitted in writing to the Secretary of the NBA no later than two weeks prior to the Annual General Meeting. Please email any motions to secretary@newmarketbaseball.com
There are currently 3 motions to be reviewed:
1. Motion to accept the new 2024 By-Laws as written by Steve Indig, Sports Lawyer.
2. Motion to add a new Director of Elite to the Composition of the Board. (Paragraph 4.1)
3. Motion to alter paragraph 4.9 to align staggered voting of the directors.
Elections – Directors will be elected at each Annual Meeting as follows:
2023 Meeting
The President, Secretary, Director of Senior House League, Director of Rep and Select, and Director of Equipment will be elected at alternate Annual Meetings to those listed in sub-section b.
2024 Meeting
The Director of Finance, Director of Rules of Play and Umpiring, Director of Fundraising and Sponsorship, Director of Junior House League, Director of Intermediate House League and Director of Registration and Social Media will be elected at alternate Annual Meetings to those listed in subsection a.
Any and all motions to amend the By-Laws must receive a majority of votes of all those members in attendance that are registered and eligible to vote.
